These Terms of Service ("Terms") govern your access to and use of the Stackmate mobile application and website at stackmateapp.com (the "Service"), operated by Stackmate ("we", "our", or "us").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance of terms

By accessing or using Stackmate, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Stackmate.

2. Eligibility

You must be at least 16 years old to use Stackmate. By using the Service, you represent that:

  • You are at least 16 years of age
  • You have the legal capacity to enter into these Terms
  • You are not barred from using the Service under applicable law
  • You have not been previously banned from the Service

3. Your account

You must sign in using a valid Google or Apple account. You are responsible for:

  • Providing accurate and complete profile information
  • Maintaining the security of your account
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized account access

Each person may only maintain one Stackmate account. Creating multiple accounts to circumvent restrictions is prohibited.

Connected AI clients

You may connect an AI client — such as an AI assistant running on your own computer — to your Stackmate account. Doing so is optional, and you can disconnect any client at any time from the app.

A connected client acts as you. Everything it does under your account is your activity and your responsibility, exactly as if you had done it yourself in the app — including any connection requests it sends. Treat the credential it holds like a password: anyone who obtains it can act as you until you disconnect that client.

The AI provider you choose is not part of Stackmate. We do not control it, do not endorse it, and are not responsible for how it handles what you send it. Your use of that provider is governed by your agreement with them.

4. Acceptable use

You agree not to use the Service to:

  • Post false, misleading, or fraudulent profile information
  • Impersonate any person or entity
  • Harass, abuse, or harm other users
  • Send unsolicited commercial messages or spam
  • Scrape or systematically extract data from the platform
  • Attempt to reverse-engineer or compromise the Service
  • Use the Service for any unlawful purpose
  • Use a connected AI client to collect, store, or redistribute other users' profiles or project descriptions beyond your own use of the Service, or to send connection requests you have not reviewed

We reserve the right to suspend or terminate accounts that violate these guidelines.

5. User content

You retain ownership of content you submit to Stackmate. By submitting content, you grant Stackmate a non-exclusive, worldwide, royalty-free license to use, store, and display that content solely to operate the Service.

You are solely responsible for the content you submit. We reserve the right to remove content that violates these Terms.

6. Matching and connections

Stackmate provides a platform for founders and candidates to discover and connect. We do not guarantee:

  • That you will find a suitable co-founder
  • The accuracy of other users' profile information
  • The outcome of any business relationship formed through the Service

Any co-founder agreements, equity arrangements, or business decisions made between users are solely between those users. Stackmate bears no responsibility for their outcome.

7. Ideas & project confidentiality

Stackmate facilitates introductions between founders and co-founder candidates. We are not responsible for the confidentiality of ideas, business concepts, or project details shared between users.

If you choose to share sensitive information — including but not limited to unreleased products, business strategies, trade secrets, or proprietary technology — you do so at your own risk. Stackmate does not review, monitor, or take responsibility for the content exchanged in private conversations between users.

We strongly recommend that you use appropriate legal instruments (such as non-disclosure agreements) to protect your intellectual property before disclosing confidential details to any third party, including other Stackmate users.

Connected AI clients. If you connect an AI client, other users' project descriptions shown to you may be transmitted to the AI provider you chose. That is your decision and your responsibility. Equally, if another user has connected a client, what you write in your project description may reach their provider — so write it with that in mind, and use the confidentiality tools above for anything you are not willing to have leave the app.

8. Termination

You may delete your account at any time from the app settings. We may suspend or terminate your access to the Service at any time if we believe you have violated these Terms or for any other legitimate business reason.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind. We do not warrant that the Service will be uninterrupted or error-free. We are not responsible for the conduct of any user on or off the platform.

10. Limitation of liability

To the maximum extent permitted by applicable law, Stackmate shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the twelve months preceding the claim, or €100, whichever is greater.

11. Changes to terms

We may update these Terms from time to time. When we make material changes, we will notify you via push notification or in-app message. Continued use of the Service after changes constitutes acceptance of the updated Terms.
